VuSpaces Photographer Terms
These terms apply to photographers who apply to join, are approved for, or accept work through the VuSpaces photographer network. By creating a photographer account or accepting a VuSpaces assignment, you agree to these terms.
1. Independent service provider
You provide photography services as an independent service provider. Nothing in these terms creates an employment, worker, partnership, agency or joint-venture relationship between you and VuSpaces. You are responsible for your own tax, National Insurance, VAT and other business obligations that apply to you.
2. Photographer account and approval
Applications are subject to review. VuSpaces may approve, decline, suspend or close a photographer account where reasonably necessary to protect venues, customers, the platform or the quality of the service. You must keep your profile and contact information accurate and keep your account credentials secure.
3. Assignments
VuSpaces may offer you photography assignments. You may accept or decline an offered assignment unless you have already committed to it. The assignment details may include the venue, location, shoot date, expected deliverables, fee arrangements, access information and any special instructions.
Once accepted, you should attend at the agreed time and complete the assignment with reasonable skill, care and professionalism. If you cannot attend or complete an assignment, you must tell VuSpaces as soon as reasonably possible.
4. Fees, expenses and payment
Your preferred rate shown in your profile is indicative only. The actual photography fee for an assignment is agreed separately for that assignment. Unless expressly agreed in writing, you are responsible for your own travel, equipment and normal business expenses.
Where a venue pays you directly, the payment arrangement is between you and the venue. Where VuSpaces agrees to pay you directly, the payment terms confirmed for that assignment will apply.
5. Equipment and quality
You are responsible for providing suitable, safe and properly maintained equipment. Unless an assignment states otherwise, VuSpaces photographers are expected to provide the original full-resolution equirectangular 360° JPG files required for VuSpaces to prepare and publish the final virtual tour.
You must follow reasonable technical, file-naming, capture, delivery and quality instructions supplied by VuSpaces for an assignment.
6. Insurance and compliance
If you state that you hold public liability insurance, that information must be accurate. You must maintain any insurance, permissions, licences or registrations that are legally required for the work you undertake and provide evidence if reasonably requested.
7. Venue information and confidentiality
Venue names, contact names, email addresses, telephone numbers, access instructions, operational information and other non-public information supplied through VuSpaces are confidential and may be used only for the relevant assignment or another purpose expressly authorised by VuSpaces or the venue.
You must not sell, disclose, copy for unrelated purposes, add to unrelated marketing lists, or use venue contact information obtained through VuSpaces to market unrelated services.
8. Introductions and non-circumvention
You must not deliberately use a venue introduction made through VuSpaces to bypass VuSpaces for the purpose of supplying a competing hosted virtual-tour service or moving the same VuSpaces project off the platform without written agreement.
This does not prevent you from carrying out unrelated photography work for a venue where that work is separately requested, provided you do not misuse confidential information or interfere with an existing VuSpaces service relationship.
9. Ownership of assignment content
Except for your pre-existing materials, software, templates, techniques and know-how, you assign to VuSpaces with full title guarantee all copyright and other intellectual property rights that you own in photographs, 360° imagery and other visual content created specifically for a VuSpaces assignment, including the right to use, edit, adapt, reproduce, host, publish, distribute, market, archive and sublicense that content worldwide for the full period of those rights.
You agree to sign any reasonable further document needed to give effect to that assignment. To the extent permitted by law, you waive any moral rights in the assignment content that would prevent normal editing, processing, publication or use by VuSpaces or an authorised venue.
VuSpaces may grant the relevant venue and its authorised partners rights to use the completed virtual tour and related imagery in accordance with the venue's VuSpaces service.
10. Third-party rights and people in images
You must not knowingly deliver content that infringes another person's copyright, trade mark, privacy or other rights. Where reasonably practical, you should avoid capturing identifiable members of the public, confidential material or sensitive personal information unless the venue has authorised the capture.
11. Conduct at venues
You must follow reasonable venue safety, security and access rules, treat venue staff and visitors professionally, and avoid causing unnecessary disruption. You must not represent yourself as an employee or authorised spokesperson of VuSpaces.
12. Data protection
You must use personal data received through VuSpaces only for the purpose for which it was provided, keep it reasonably secure, and delete or return it when it is no longer needed for the assignment unless you have a lawful reason to retain it.
13. Suspension and termination
VuSpaces may suspend or end access to the photographer network for serious or repeated quality problems, misuse of venue information, misconduct, fraud, repeated failure to attend accepted assignments, infringement of intellectual property rights, or a material breach of these terms.
Ending your photographer account does not affect rights and obligations that are intended to continue, including confidentiality, intellectual property and payment obligations relating to completed work.
14. Liability
Each party remains responsible for losses caused by its own breach of these terms or negligence, subject to any limits that cannot lawfully be excluded. VuSpaces is not responsible for indirect or consequential business losses arising from an assignment, venue cancellation or a photographer's independent business activities.
15. Changes to these terms
VuSpaces may update these terms from time to time. Material changes will be published on this page and, where appropriate, notified through the photographer account or by email.
16. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory rights that apply under law.
